Bužek & Terem on Amendments to Slovak Commercial Register Act

Jun 08, 2022 – Bratislava, Slovakia

BRATISLAVA, June 8, 2022 - The recent amendments to Slovakia's Commercial Register Act require special attention for statutory members of legal entities registered in the country. The Ministry of Justice is adds data on key persons in your company (especially birth dates of partners) to the Commercial Register while managers and members of statutory bodies are responsible to check them as soon as possible.

Pursuant to the Commercial Register Act, persons authorized to act on behalf of a legal entity that does not have in the Commercial Register all identification data on partners, statutory bodies or members of statutory bodies, heads of business units, procurators, members of the supervisory body, liquidators etc., are obliged to harmonise, resp. submit a proposal for the entry of these data no later than September 30, 2022.

According to the amendment to the Commercial Register Act, the data on these persons were to be added to the Commercial Register by the Ministry of Justice by the end of May 2022. If you did not find a notification in the e-mail box of your company about the completion of this data by 31.05.2022, it is almost certain that your company was not the "lucky" one for whom the Ministry of Justice solved this obligation and you must fill in this information yourself. You must comply with this obligation by 30 September 2022 at the latest .
